The Annual Meeting of The Mary T. and Frank L. Hoffman Family Foundation is held over several days in late Spring or early Summer of each year following the filing of the 990-PF with the Internal Revenue Service, on or before 15 May.  The time frame allows for personal, telephone, and email communication among Trustees in accordance with the By-Laws.  The Dated indicated below is the date these Minutes were compiled.

Review of Minutes:

• The minutes of the previous Annual Meeting were reviewed and approved unanimously.

Treasurer's Report:

• 2012 Income: $53,287.00
• 2012 Expenses: $53,033.00
  Professional Fees: $350.00
  Internet and Other Expenses: $16,666.00
  Internet Publishing Services: $35,817.00
  Donations: $200.00
• 2012 Excess Revenue: $254.00
• Cash in the bank as of this date: $3078.93
• The Treasurers report was accepted unanimously.

Review of Current Foundation and Web Site Status:

• Our experience with Vocus has proved to be a disaster. Instead of increasing web traffic, it is still declining. The only place we have seen any increased traffic is on Facebook and Twitter, but the increases there most likely came from our increased activity and had nothing to do with Vocus.
• We have been doing some more redesigning of the web site to help modernize the appearance, and convert more pages to CSS format.
• We also started an all-creatures blog with an RSS news feed to help with search engine listings.
• We are still hosting web sites for about 50 other organizations.
• Review of Budget through 30 Jun 2013:
• Income from Donations: $24,730.82
• Expenses: $25,199.95
  Internet and Other Expenses: 5,471.95
  Internet Publishing Services: 19,168.00
  Professional Fees: 365.00
  Donations: 195.00
• Contingency and Reserve: ($469.13)
• Both Income and Expenses are running less than half of the proposed budget, but since Frank and Mary Hoffman agreed to fund up to $52,000.00, no changes were needed.

Old Business:

• During the early part of the year, we explored the possibility of using Vocus, Inc. to help us increase web site traffic. We signed the contract for one year beginning 1 Apr 2013.

New Business:

• Proposed Budget for Next year:
• Income from Donations: $52,000.00
• Expenses: $50,800.00
  Internet and Other Expenses: 9,400.00
  Internet Publishing Services: 37,000.00
  Professional Fees: 400.00
  Donations: 4,000.00
• Contingency and Reserve: $1,200.00
• After discussion, and Frank and Mary Hoffman's assurance that they would fund up to $52,000.00, the proposed Budget was  considered sufficient and accepted unanimously.

There being no further business, the meeting was adjourned.
