The Annual Meeting of The Mary T. and Frank L. Hoffman Family Foundation is held over
several days in late Spring or early Summer of each year following the filing of
the 990-PF with the Internal Revenue Service, on or before 15 May. The
time frame allows for personal, telephone, and email communication among
Trustees in accordance with the By-Laws. The Dated indicated below is the
date these Minutes were compiled and approved.

Review of Prior Annual Meeting Minutes:
- Upon motion, properly seconded, the minutes of the previous Annual
Meeting were reviewed and approved unanimously.

Review of Current Foundation and Web Site Status:
- We have successfully created a strategic plan of action to be used at the time of our founder's death and our Executive Director has completed a week of onsite training in WI including working with the trusts. (2023/2024)
- We have successfully implemented SplashTop now to handle management of Frank's PC and Veda's MAC as needed and in emergencies. (2023/2024)
- Veda's new MAC, monitor, and camera were purchased by the foundation. (2023)
- We have transitioned from ITS to managing our own Office 365 Administration to reduce costs. (2023)
- We are active members of the Interfaith Vegan Coalition, the Animal Interfaith Alliance, and our Executive Director provides the closing prayers at V-COP and other events. (Ongoing)
- We have transitioned former IT work work from Bill Ferguson to Tams Nicholson. (2023)
- We continue to receive the Azure grant to reduce server and Microsoft costs. (Ongoing)
- We have on-boarded a dedicated live stream host to conduct weekly interviews (May 2024).
- We are in the process of launching 30 minute 'services' led by a variety of vegan faith-based leaders. (July 2024)
- We are in the process of onboarding a social media and part time assistant. (June - July 2024)
- We are not renewing the Council of Foundations Membership of $1000 (June 2024) to fund a subscription to Adobe for Veda and of MailChimp. (June 2024)
- Veda is switching to DreamWeaver because Expressions has been unsupported for over a decade and is failing. (May/June 2024)

- Income and Expenses are balancing out if we count the trust. Our total
expense is over budget because of the $4,500 in legal fees to set-up the new
trust and modify the old trust so that in the event of the death of the
founder, none of the bonds will need to be sold just transferred.
Old Business:
- Continuing to monitor and resolve potential hackers access - especially concerning the older
archived sites.
- Continuing to seek a way to modernize the multi-layered all-creatures.org coding so the site appears more updated. We are currently converting Frank's blog site to a new theme and updating PHP to eliminate safety concerns.
- Advisory Committee members recruiting
- Newest information from the Council for Foundations legal team to determine fundraising
solicitation nuances and laws for our unique structure as a non-profit trust
- Advisory Committee to be created
New Business:
- PayChex problems and reduced satisfaction - exploring possibly moving or doing it ourselves.
- Promotion of our successes as a means to build ethos for new large
and grass root donors.
- Staff/Volunteer Update
- A motion was unanimously passed for the Proposed Budget for Next year 2025:
- Income from Gifts Received: $187,000
- * (with additional donation from Frank of $120,000 (10k per month)
and $67,000 coming from new and existing donors. This will take us through January 2026.)
